Xenonics Purchases 533,529 Shares
of Its Common Stock from a Director

Also announced resignation of Robert Buie, long-time Board Member and Director

CARLSBAD, Ca. - XENONICS HOLDINGS, INC. (OTCBB: XNNH) announced that Robert Buie, a Director of the Company since 2003, has resigned from the Board for personal reasons effective on December 6, 2010. In connection with the resignation, Xenonics also announced that it has purchased and will retire all 533,529 of its common shares owned by Mr. Buie for a total price of $106,706, or $0.20 per share.
